These Terms govern all Human Resources consulting, advisory, recruitment, compliance, coaching, training, and related services provided by our practice.<\/p><ol start=\"2\"><li><strong> Services<\/strong><\/li><\/ol><p>We provide professional Human Resources services, which may include:<\/p><ul><li>HR consulting and strategic advisory<\/li><li>Coaching<\/li><li>Employee relations support<\/li><li>Recruitment and talent acquisition<\/li><li>Policy and handbook development<\/li><li>Performance management guidance<\/li><li>HR compliance consulting<\/li><li>Workplace investigations<\/li><li>LeadershipTraining and development<\/li><li>Compensation and benefits consulting<\/li><li>Other HR-related services as agreed in writing<\/li><\/ul><p>The scope of services will be outlined in a separate proposal, and service agreement.<\/p><ol start=\"3\"><li><strong> Client Responsibilities<\/strong><\/li><\/ol><p>The Client agrees to:<\/p><ul><li>Provide complete and accurate information.<\/li><li>Cooperate in a timely manner.<\/li><li>Designate an authorized contact person.<\/li><li>Ensure compliance with applicable employment laws unless responsibility has been specifically delegated in writing.<\/li><li>Make business decisions based on independent judgment.<\/li><\/ul><ol start=\"4\"><li><strong> Fees and Payment<\/strong><\/li><\/ol><ul><li>Fees are specified in the applicable proposal and agreement.<\/li><li>Invoices are payable within the agreed payment period.<\/li><li>Late payments may incur interest and collection costs where permitted by law.<\/li><li>Additional work outside the agreed scope may be billed separately.<\/li><\/ul><ol start=\"5\"><li><strong> Confidentiality<\/strong><\/li><\/ol><p>We will maintain the confidentiality of all non-public information received from the Client except where disclosure is:<\/p><ul><li>Required by law;<\/li><li>Authorized by the Client; or<\/li><li>Necessary to perform the agreed services.<\/li><\/ul><p>The Client agrees to protect our confidential materials and proprietary methodologies.<\/p><ol start=\"6\"><li><strong> Data Protection<\/strong><\/li><\/ol><p>Both parties agree to comply with applicable privacy and data protection laws.<\/p><p>Where personal employee information is shared:<\/p><ul><li>Information will only be used for the agreed services.<\/li><li>Appropriate security measures will be maintained.<\/li><li>Sensitive information will only be accessed on a need-to-know basis.<\/li><\/ul><ol start=\"7\"><li><strong> Employment Law Compliance<\/strong><\/li><\/ol><p>Our advice is based on information provided by the Client and applicable laws at the time the advice is given.<\/p><p>We do not guarantee that:<\/p><ul><li>Government agencies or courts will adopt our recommendations.<\/li><li>Future legal developments will not affect prior advice.<\/li><\/ul><p>Legal advice should be obtained from qualified legal counsel when appropriate.<\/p><ol start=\"8\"><li><strong> No Attorney-Client Relationship<\/strong><\/li><\/ol><p>Our HR services do not constitute legal representation. Nothing in these Terms creates an attorney-client relationship.<\/p><ol start=\"9\"><li><strong> Recruitment Services<\/strong><\/li><\/ol><p>Where recruitment services are provided:<\/p><ul><li>Hiring decisions remain solely with the Client.<\/li><li>We cannot guarantee candidate performance or retention.<\/li><li>Background checks and employment verification remain the Client&#8217;s responsibility unless expressly included in our services.<\/li><\/ul><ol start=\"10\"><li><strong> Intellectual Property<\/strong><\/li><\/ol><p>Templates, manuals, policies, reports, presentations, and other materials created by us remain our intellectual property unless otherwise agreed in writing.<\/p><p>Clients receive a non-exclusive license to use deliverables internally for their own business purposes.<\/p><ol start=\"11\"><li><strong> Limitation of Liability<\/strong><\/li><\/ol><p>To the fullest extent permitted by law:<\/p><ul><li>We are not liable for indirect, incidental, consequential, punitive, or special damages.<\/li><li>Our total liability arising from the engagement shall not exceed the fees paid for the specific services giving rise to the claim.<\/li><\/ul><ol start=\"12\"><li><strong> Indemnification<\/strong><\/li><\/ol><p>The Client agrees to indemnify and hold us harmless from claims arising from:<\/p><ul><li>Inaccurate or incomplete information provided by the Client;<\/li><li>The Client&#8217;s employment decisions;<\/li><li>Misuse of our advice or documents.<\/li><\/ul><ol start=\"13\"><li><strong> Independent Contractor<\/strong><\/li><\/ol><p>We provide services as an independent contractor. Nothing creates an employer-employee, partnership, joint venture, or agency relationship.<\/p><ol start=\"14\"><li><strong> Cancellation and Termination<\/strong><\/li><\/ol><p>Either party may terminate the engagement upon written notice unless otherwise agreed.<\/p><p>The Client remains responsible for payment of services performed up to the termination date.<\/p><ol start=\"15\"><li><strong> Force Majeure<\/strong><\/li><\/ol><p>Neither party shall be liable for delays or failures caused by events beyond reasonable control, including natural disasters, government actions, labor disputes, cyber incidents, or communication failures.<\/p><ol start=\"16\"><li><strong> Electronic Communications<\/strong><\/li><\/ol><p>The Client consents to communications by email and electronic document delivery. While reasonable security measures are used, electronic communications cannot be guaranteed to be completely secure.<\/p><ol start=\"17\"><li><strong> Governing Law<\/strong><\/li><\/ol><p>These Terms shall be governed by the laws of the jurisdiction specified in the applicable service agreement, without regard to conflict of law principles.<\/p><ol start=\"18\"><li><strong> Dispute Resolution<\/strong><\/li><\/ol><p>The parties agree to attempt to resolve disputes through good-faith negotiation before commencing litigation or arbitration, unless immediate legal relief is necessary.<\/p><ol start=\"19\"><li><strong> Severability<\/strong><\/li><\/ol><p>If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.<\/p><ol start=\"20\"><li><strong> Entire Agreement<\/strong><\/li><\/ol><p>These Terms, together with any proposal, engagement letter, statement of work, or service agreement, constitute the entire agreement between the parties regarding the services.<\/p><ol start=\"21\"><li><strong> Amendments<\/strong><\/li><\/ol><p>We reserve the right to update these Terms from time to time.
